TRANSACTIONAL ADVISORY SERVICES TO GENESIS GROWTH EQUITY FUND

TRANSACTION ADVISORY FOR GENESIS GROWTH EQUITY FUND We provided comprehensive transaction advisory services to Genesis Growth Equity Fund on the acquisition of an 80% stake in the Slovak company TechPlasty (a major Slovak producer of technical plastics). Our advice included: ✅ legal and tax due diligence of the target company;
✅ advising on negotiating the acquisition financing documentation (loan agreement, pledge agreement, escrow agreement);
✅ establishment and set-up of the structure using the acquisition SPV;
✅ preparation and negotiation of transaction documentation (SPA, SHA);
✅ Preparation and negotiation of accompanying corporate documentation (general meetings, waivers, performance contracts). A number of colleagues from the Highgate Law & Tax team worked on the transaction, most intensively Tatiana Jochymova from both the legal and tax and accounting departments.
