WITHIN SEVEN YEARS WE WANT TO BE THE LEADER IN THE SLOVAK TOOTH CLINICS MARKET 💪 These words were said to me almost a year ago by Peter Krul, CFA from Ethernum Capital. And they took the first important step towards it. Ethernum Capital, together with the investment fund Eterus Capital (managed by WOOD & Company), acquired a 50% stake in the Dr. Martin Group and committed to provide the group with more than EUR 5m of growth capital. The transaction team of Highgate Law & Tax and Highgate Accounting (primarily Dominika Fedáková, Tatiana Jochymová, Peter Varga, Anita Péková) provided comprehensive transaction advisory services for this transaction under one roof, including: ✅ financial, tax and legal due diligence of the entire Dr. Martin Group (10 companies);
✅ tax and legal assessment of the possibility of carve-outs of certain assets from the group prior to completion of the transaction; and
✅ preparation and negotiation of robust transaction documentation (SPA, SHA, corporate documentation). We have been working on the transaction for over 7 months.
