The end of the year is always an intense time for transactional lawyers. For 2022, our M&A and VC mandates grew by almost 50% year-on-year. In the last quarter of last year, we were particularly busy with two transactions that stood out from the average in terms of their value and significance for the target companies. Pending the media disclosure of the former, I’ll share the latter for now. We provided comprehensive transactional legal advice to FUERGA on a total of EUR 16 million investment from the investment company Pro Partners Holding. The investment was structured as a convertible loan with multiple tranches tied to the satisfaction of agreed conditions precedent. Our advice included advising on the transaction structure, drafting the term sheet, the convertible loan agreements, the new shareholders’ agreement, the documentation for the buyout of some of the existing shareholders and the issuance of new investor shares. We aspire to be the first choice for clients seeking boutique legal and tax advice for M&A and VC transactions in the Slovak market. This transaction also indicates that we are on the right track.
