Roman Baranec is an associate at Highgate Law & Tax.

He has been providing legal advice since 2012 and focuses his practice mainly on financial regulation and capital markets. He assists clients in selecting and setting up the appropriate regulatory structure for their business models, in the creation and operation of investment funds, in bond financing, as well as in the areas of cryptoassets regulation, crowdfunding and payment services. Within the framework of the above activities, he represents clients in authorisation, registration and sanction proceedings before the National Bank of Slovakia.

While at Highgate Law & Tax, he led a team of lawyers in licensing proceedings under AIFMD, MiFID II and MiCA Regulation. He was involved in obtaining the first cryptoasset services licenses in Central Europe. Represented a client in obtaining permissions to manage alternative investment funds and foreign alternative investment funds, as well as in the subsequent obtaining of permissions to establish retail alternative investment funds. He also advised on the first prospectus issue of tokenised bonds in Slovakia.

Roman also lectures on financial regulation, including the regulation of cryptoassets, both at external events and at conferences organised by Highgate Events. He has served as a speaker or panelist, for example, at the Conference on the Establishment and Operation of Investment Funds, the Real Estate – Taxes and Financing Conference, addressing fund and tax structures, crowdfunding, bonds and bank financing in the real estate sector, and the Conference on Crypto Taxation and Implementation in Investment Structures. He has also spoken about capital markets regulation and cryptoassets on the Highgate Talks podcasts.
