We are experienced legal and tax advisors in M&A, private equity and venture capital investments in high-growth companies (startups).

We provide comprehensive legal and tax transactional advisory services to investors and buyers(buy side advisory) as well as founders and owners of companies(sell side advisory) in sales and acquisitions of shares in companies. As part of the pre-transaction phase, we analyze and propose the appropriate tax and legal structure of the transaction for our clients. Subsequently, we provide our clients with turnkey services for the entire transaction process, from conducting legal and taxdue diligence of the target companies, preparing and negotiating transaction documentation(term sheet, investment agreement, corporate documents) to drafting shareholders’ agreements regulating the relations between shareholders or partners after the transaction is completed.

As part of our transactional advisory services, we advised, for example, Dedoles and its founder in the negotiations for a EUR 10 million acquisition of the company. EUR investment from a group of investors, the innovative company FUERGY in a EUR 16mn investment in a EUR 16mn investment from a group of investors. EUR investment from investment group Pro Partners Holding, the leading Slovak cycling apparel brand Isadore in a EUR 2.1mn investment from the investment group Pro Partners Holding. EUR 1.1mil.
